Use of Resilience Cyber Security Ltd.’s (“Resilience”) Solutions and Services
These terms and conditions (“Terms and Conditions”) and the Resilience Solutions and Services proposal dated ___________, incorporated herein by reference (the “Proposal”, and collectively with these ‘Terms and Conditions”, the “Agreement”), govern Company’s use of Resilience Solutions and Services (the “Solutions and Services”).
Disclaimer of Warranties
Company acknowledges that the Solutions and Solutions and Services to be rendered to Company by Resilience are based on the information and data provided by Company and rely on the representations presented by Company. Any false or incorrect representations, data and/or information may affect the Solutions and Services and its outcome. Without derogating from the foregoing, Resilience does not guarantee, promise or otherwise suggest that the use of the Solutions and Services will provide any specific, successful or satisfactory results. Company understand that Company’s use of the Solutions and Services is conditional upon the acceptance of any results provided "as is". Resilience cannot guarantee the suitability of the Solutions and Services to Company’s needs. Resilience expressly disclaims any and all warranties and conditions which are, expressed, implied, and statutory warranties including, without limitation, the warranties regarding the accuracy, reliability or completeness of the information which is included within the Solutions and Services and in addition, any warranties of merchantability, fitness or for a particular purpose, security, operability, title and/or non- infringement. In addition, Resilience does not represent or warrant that the Solutions and Services are free of inaccuracies, errors, defects or bugs of whatever kind. Resilience disclaims any responsibility or liability for any loss, damage, harm, expense and/or injury resulting from the use of the Solutions and Services, including, without limitation, for any damage caused by viruses or similar contaminations or destructive features to Company’s device(s).
Limitation of Liability
Resilience shall not be liable for any special, incidental, indirect, consequential or exemplary damages arising out of or in any manner related to this Agreement or the subject matter hereof, regardless of the form of action and whether or not Resilience has been informed of, or otherwise might have anticipated, the possibility of such damages and regardless of the form of action and under any theory of liability, whether based in contract, tort, negligence, product liability, or otherwise. Notwithstanding any other term mentioned in this Agreement and to the extent permitted by applicable law, under no circumstances, shall Resilience aggregate liability to Company arising from or out of or relating to this Agreement exceed one time of the fees actually paid to Resilience under this Agreement during a period of 6 (six) months preceding the event giving rise to such liability.
Governing Law; Jurisdiction.
The Agreement shall be governed by and shall be construed in accordance with the laws of the State of Israel, excluding its choice of law rules. All disputes relating to this Agreement shall be settled in the courts located within Tel-Aviv, Israel.
Entire Agreement
The Agreement constitutes the entire agreement between Company and Resilience with respect to the use of the Solutions and Services, and supersedes and replaces any and all prior and/or other correspondence, contracts and/or agreements.
How We Use Information
We use the information collected solely for the following purposes:
Service Delivery: Creating custom frameworks, work plans, and SDLC security architectures tailored to your unique risks.
Compliance Support: Assisting your organization in meeting regulatory requirements (e.g., SOC2, ISO 27001).
Client Communication: Managing the consulting engagement, invoicing, and providing updates on project milestones.
Legal Obligations: Complying with applicable laws and professional standards.
Data Retention and Security
We treat your data as highly sensitive professional secrets.
No Aggregation: We do not aggregate or "anonymize" your data to build products or train public AI models.
Security Controls: We implement industry-standard physical, technical, and administrative safeguards, including encrypted storage and secure communication channels for all deliverables.
Retention: We retain project-related information only for as long as necessary to fulfill the consulting agreement or as required by legal record-keeping obligations.
Information Sharing and Disclosure
Resilience Cyber Security LTD. does not sell, rent, or trade your information to third parties. We only disclose information to:
Sub-Processors: Vetted third-party contractors (e.g., specialized auditors) specifically authorized by you in our Statement of Work (SOW).
Legal Necessity: If required by law, subpoena, or government regulation.
Your Rights and Choices
Depending on your jurisdiction, you may have the right to access, correct, or delete the personal information we hold. Given the nature of our work, requests regarding project data are handled according to the specific Confidentiality Agreement (NDA) signed at the start of our engagement.
